Terms of Service

These Terms of Service govern access to and use of Responses, a business messaging and AI assistance service for official social and messaging channels. By creating an account, creating a workspace, connecting a channel, using the dashboard, or otherwise using Responses, you agree to these Terms on behalf of yourself and, if applicable, the business or organization you represent.

2. Eligibility and Authority

You must be legally able to enter into these Terms and use Responses only for lawful business purposes. If you use Responses for an organization, you represent that you have authority to bind that organization. You are responsible for all activity in workspaces and accounts you administer.

3. The Service

Responses provides tools to connect official platform accounts, receive inbound messages, organize conversations, draft AI-assisted replies, approve or send responses, manage team access, maintain knowledge base content and review privacy/security controls. Features may be modified, added or removed as the service evolves.

Responses is a support and communication workflow tool. It is not a replacement for human judgment, legal advice, medical advice, financial advice, emergency communications or regulated decision-making. Customers are responsible for reviewing AI behavior and deciding whether auto-send is appropriate for their business.

Customers may connect official messaging channels such as Instagram, Facebook Messenger, WhatsApp Business and Telegram Business. Customers remain responsible for:

If a platform suspends access, changes its API, rejects messages, limits permissions or disables an integration, Responses may be unable to provide the affected functionality.

6. Telegram Business and Secretary Mode

For Telegram Business, Responses uses a bot controlled by Responses. A Customer connects by opening a workspace-specific link and enabling Secretary Mode for the bot in Telegram Business settings. When enabled, Telegram may send business connection updates and business messages to Responses, and Responses may send replies using the permissions granted by the Customer's Telegram Business account.

Customers are responsible for ensuring that the Telegram account owner understands what Secretary Mode does, has authority to connect the account, and monitors any automated behavior enabled in Responses.

7. AI Features

Responses may block, rate-limit or disable AI features that appear unsafe, unlawful, abusive, misleading or inconsistent with platform rules.

8. Customer Content

Customers retain ownership of Customer Content. Customers grant Responses a limited license to host, process, transmit, display and use Customer Content only as needed to provide, secure, support and improve the service, comply with law and enforce these Terms. Customers represent that they have the rights and permissions needed to submit Customer Content to Responses and to authorize processing through connected platforms and subprocessors.

10. Billing, Trials and Taxes

Paid features may require a subscription, usage-based fees or other charges. Prices, plan limits and billing intervals are shown in the product or order process. Unless stated otherwise, subscriptions renew automatically until canceled. Customers authorize Responses and its payment processor to charge applicable fees, taxes and usage overages. Fees are non-refundable except where required by law or expressly stated in writing.

Free trials or promotional credits may be limited, modified or discontinued. If a payment fails or an account is overdue, Responses may suspend or limit access after reasonable notice where practical.

11. Privacy and Data Protection

The Privacy Policy explains how Responses handles personal data. Customers are responsible for their own privacy notices, lawful basis, consent management, End User requests and records of processing. Where Responses processes personal data on behalf of a Customer, the Data Processing Addendum applies together with the Customer's configuration, these Terms and the Privacy Policy.

12. Security

Responses uses reasonable technical and organizational safeguards, but no service is perfectly secure. Customers must maintain secure devices, strong credentials, appropriate team roles and current connected-platform permissions. Customers must promptly rotate platform tokens and API keys if they may have been exposed.

13. Suspension and Termination

Customers may stop using Responses at any time and may delete workspace data through available controls. Responses may suspend or terminate access if a Customer violates these Terms, creates security risk, fails to pay, violates platform rules, causes operational harm, or uses the service unlawfully. Suspension may include disabling AI, connected channels, outbound messages or workspace access.

14. Service Availability and Changes

Responses may experience downtime, delays, platform API failures, maintenance or third-party outages. We may update, limit, discontinue or change features. We are not responsible for failures caused by Customer configuration, connected platforms, internet providers, hosting providers, AI providers, payment processors or force majeure events.

15. Third-Party Services

Responses depends on third-party services, including connected messaging platforms, AI providers, payment processors and hosting infrastructure. Third-party terms and privacy policies may apply. Responses is not responsible for third-party services outside our control.

16. Disclaimers

Responses is provided "as is" and "as available" to the fullest extent permitted by law. We disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, error-free output, platform availability and accuracy of AI Output.

17. Limitation of Liability

To the fullest extent permitted by law, Responses will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost goodwill, lost data, business interruption or platform account suspension. To the fullest extent permitted by law, Responses' total liability for all claims relating to the service will not exceed the amounts paid by the Customer to Responses for the service during the three months before the event giving rise to the claim, or one hundred U.S. dollars if no amounts were paid.

18. Indemnification

Customers will defend, indemnify and hold Responses harmless from claims, damages, liabilities, losses and expenses arising from Customer Content, connected channels, Customer instructions, misuse of AI Output, violation of platform rules, violation of law, privacy requests caused by Customer processing, or breach of these Terms.

19. Changes to These Terms

We may update these Terms from time to time. If changes are material, we will provide notice through the service, email or another reasonable method. Continued use after the effective date means the updated Terms apply.
